Terms of Service

1. Acceptance of terms

By accessing or using Semantix, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. The service

Semantix is an AI language tutor. It provides a conversational tutor, flashcards with spaced repetition, practice modes (fill-in-the-blank, translation, conjugation, scenario, pronunciation, dictation), writing correction, a curriculum path, article import, and achievements across 19 languages. Features may change over time; we may add, modify, or discontinue parts of the service.

3. Your account

You must provide accurate information, keep your credentials secure, and be at least 13 years old (16 in the EU/EEA, or have parental consent). You are responsible for activity under your account. Tell us promptly of any unauthorized use. One person, one account - accounts are not transferable.

4. Acceptable use

You agree not to:

• Use Semantix for any unlawful purpose or to generate unlawful content.
• Attempt to extract, reverse-engineer, or copy the underlying AI model, system prompts, or training data.
• Scrape, bulk-export, or resell the service or its content.
• Circumvent rate limits, usage caps, plan restrictions, or security controls, or interfere with the service.
• Share an account, or use the service to provide a competing or derivative service.
• Harass, abuse, or impersonate others, or upload malicious code.

5. AI-generated content

Tutor replies, corrections, generated lessons, and pronunciation scores are produced by an AI model and may contain errors. They are provided for educational purposes only and are not professional translation, interpretation, certification, or advice. Use judgment before relying on them. You are responsible for what you choose to submit to the tutor, and you should not submit sensitive personal information you do not want processed as described in our Privacy Policy.

6. Intellectual property and your content

Semantix, including its software, design, vocabulary decks, and curriculum, is owned by Nobler Works LLC and protected by intellectual-property laws. You retain ownership of the content you submit (your messages, writing, and cards). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display that content solely as needed to operate and improve the service for you. That license ends when you delete the content or your account, except for copies retained as described in the Privacy Policy.

7. Imported content and copyright

Semantix lets you import an article or text of your own choosing to study. You are responsible for having the right to use anything you import, and imported material is processed only for your own personal study - it is not republished or shared with other users. If you believe material on Semantix infringes your copyright, send a notice with enough detail to identify the work and the material to legal@semantix.chat, and we will respond as required by the DMCA and other applicable law, including removing infringing material and terminating repeat infringers.

8. Subscriptions, trials, and billing

Semantix is a paid service. Current plans and prices are shown on our pricing page. The following terms apply to every purchase:

• Free trial and automatic conversion. New monthly subscribers may receive a 10-day free trial, once per person. We collect a payment method when the trial starts, and unless you cancel before the trial ends, the trial converts automatically into a paid subscription and your payment method is charged at the plan’s then-current price. We will email you before the trial ends. Annual plans are charged immediately and do not include a trial.
• Automatic renewal. Subscriptions renew automatically - monthly plans each month, annual plans each year - at the then-current price, until you cancel. Cancel at any time from your profile or, for iOS purchases, in your Apple subscription settings.
• What cancelling does. Cancelling stops the next renewal. You keep access for the rest of the period you have already paid for, and are not charged again.
• Refunds. Except where required by law, fees are non-refundable and we do not refund partial periods. If we issue a full refund for a charge, the related subscription is cancelled and access ends.
• Price changes. We may change prices with reasonable advance notice. A change never applies to a billing period you have already paid for.
• Failed payments. If a payment fails we may retry it, email you, and suspend or cancel paid access if it remains unpaid.
• Taxes. Prices exclude taxes unless stated. You are responsible for any taxes other than those on our income.
• Purchases through Apple. Subscriptions bought in the iOS app are billed by Apple through In-App Purchase and are governed by Apple’s terms in addition to these. Manage or cancel them in your Apple account settings; refunds for those purchases are handled by Apple, not by us.
• Complimentary and gifted access. Plans we grant directly (comps, gifts, referral perks, team or classroom seats) carry no payment obligation, expire on the date given, and may be modified or withdrawn.

9. Beta and experimental features

We may label features as beta, preview, or experimental. They are provided as-is, may be changed or removed at any time, and are excluded from any commitment we make about the rest of the service.

10. Feedback

If you send us ideas or suggestions, you grant us an unrestricted, royalty-free right to use them without obligation or compensation to you. This does not give us any right to your learning content.

11. Disclaimer of warranties

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate. We make no promise that using Semantix will produce any particular level of language proficiency or exam result. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Nobler Works LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD $100. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Nobler Works LLC from claims arising out of your misuse of the service, your violation of these Terms, or content you submit or import.

14. Termination

You may stop using Semantix and delete your account at any time; deleting your account erases your data as described in the Privacy Policy and does not by itself refund an unused period. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the service or other users - and if we terminate your paid access without cause, we will refund the unused portion of the period you paid for. On termination, your right to use the service ends; sections that by their nature should survive (ownership, disclaimers, liability, indemnification, dispute resolution) do.

15. Dispute resolution and governing law

We will try to resolve disputes informally first - email legal@semantix.chat and give us 30 days to work it out with you. If we cannot, you and Nobler Works LLC agree to resolve disputes through binding individual arbitration rather than in court, and to waive any class action, except where prohibited by law. You may bring an individual claim in small-claims court instead if it qualifies. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. If you are a consumer in the EU/EEA or UK, this does not deprive you of the protections of the mandatory law of the country you live in, or of your right to bring proceedings there.

16. Changes to these terms

We may update these Terms. Material changes will be reflected by the “Last updated” date above and, where appropriate, additional notice; continued use after changes means you accept them. If you do not accept a change, stop using the service and cancel any subscription.

17. General

If any provision is unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We send legal notices to the email address on your account; send yours to the address below. These Terms, together with the Privacy Policy, are the entire agreement between you and Nobler Works LLC regarding the service.
